Object of lease relations<\/span><\/p>\n<p style=\"text-align: justify; margin-top: 0pt; padding-top: 0; margin-bottom: 8pt; padding-bottom: 0; line-height: 1.3; margin-left: 7.1pt; text-indent: 21.25pt;\"><span style=\"font-size: 12pt;\">Objects of rental relations can be:<\/span><\/p>\n<p style=\"text-align: justify; margin-top: 0pt; padding-top: 0; margin-bottom: 8pt; padding-bottom: 0; line-height: 1.3; margin-left: 7.1pt; text-indent: 21.25pt;\"><span style=\"font-size: 12pt;\">enterprises<\/span><span style=\"font-size: 12pt;\">, individual industries, workshops, farms, other divisions, organizations;<\/span><\/p>\n<p style=\"text-align: justify; margin-top: 0pt; padding-top: 0; margin-bottom: 8pt; padding-bottom: 0; line-height: 1.3; margin-left: 7.1pt; text-indent: 21.25pt;\"><span style=\"font-size: 12pt;\">individual<\/span><span style=\"font-size: 12pt;\"> buildings, structures, equipment, vehicles, inventory, tools, and other material assets;<\/span><\/p>\n<p style=\"text-align: justify; margin-top: 0pt; padding-top: 0; margin-bottom: 8pt; padding-bottom: 0; line-height: 1.3; margin-left: 7.1pt; text-indent: 21.25pt;\"><span style=\"font-size: 12pt;\">land<\/span><span style=\"font-size: 12pt;\"> (agricultural land is leased only for agricultural production) and other natural resources.<\/span><\/p>\n<p style=\"text-align: justify; margin-top: 0pt; padding-top: 0; margin-bottom: 8pt; padding-bottom: 0; line-height: 1.3; margin-left: 7.1pt; text-indent: 21.25pt;\"><span style=\"font-size: 12pt;\">Legislative acts of the Republic of Uzbekistan establish types (groups) of enterprises, organizations, types of property and natural resources, the rental of which is not permitted.<\/span><\/p>\n<p style=\"text-align: justify; margin-top: 0pt; padding-top: 0; margin-bottom: 8pt; padding-bottom: 0; line-height: 1.3; margin-left: 7.1pt; text-indent: 21.25pt;\"><span style=\"color: #2f5496; font-size: 12pt;\">Article 4. Subjects <\/span><span style=\"color: #2f5496; font-size: 12pt;\">of <\/span><span style=\"color: #2f5496; font-size: 12pt;\">rental<\/span><span style=\"color: #2f5496; font-size: 12pt;\"> relations<\/span><\/p>\n<p style=\"text-align: justify; margin-top: 0pt; padding-top: 0; margin-bottom: 8pt; padding-bottom: 0; line-height: 1.3; margin-left: 7.1pt; text-indent: 21.25pt;\"><span style=\"font-size: 12pt;\">The subjects of <\/span><span style=\"font-size: 12pt;\">rental <\/span><span style=\"font-size: 12pt;\">relations are the lessor and the <\/span><span style=\"font-size: 12pt;\">r<\/span><span style=\"font-size: 12pt;\">ent<\/span><span style=\"font-size: 12pt;\">.<\/span><\/p>\n<p style=\"text-align: justify; margin-top: 0pt; padding-top: 0; margin-bottom: 8pt; padding-bottom: 0; line-height: 1.3; margin-left: 7.1pt; text-indent: 21.25pt;\"><span style=\"font-size: 12pt;\">The lessor, who owns the right to lease, is the owner of the property or his authorized body, <\/span><span style=\"font-size: 12pt;\">including foreign legal person and physical person<\/span><span style=\"font-size: 12pt;\">.<\/span><\/p>\n<p style=\"text-align: justify; margin-top: 0pt; padding-top: 0; margin-bottom: 8pt; padding-bottom: 0; line-height: 1.3; margin-left: 7.1pt; text-indent: 21.25pt;\"><span style=\"font-size: 12pt;\">Tenants can be legal<\/span><span style=\"font-size: 12pt;\"> person and physical person, including joint ventures, international associations and organizations, with the participation of S<\/span><span style=\"font-size: 12pt;\">oviet and foreign legal persons<\/span><span style=\"font-size: 12pt;\">, as well as foreign states and international organizations.<\/span><\/p>\n<p style=\"text-align: justify; margin-top: 0pt; padding-top: 0; margin-bottom: 8pt; padding-bottom: 0; line-height: 1.3; margin-left: 7.1pt; text-indent: 21.25pt;\"><span style=\"font-size: 12pt;\">The participation of foreign legal person and physical person in the leasing of state property <\/span><span style=\"font-size: 12pt;\">is regulated<\/span><span style=\"font-size: 12pt;\"> by the legislation of the Republic of Uzbekistan.<\/span><\/p>\n<p style=\"text-align: justify; margin-top: 0pt; padding-top: 0; margin-bottom: 8pt; padding-bottom: 0; line-height: 1.3; margin-left: 7.1pt; text-indent: 21.25pt;\"><span style=\"color: #2f5496; font-size: 12pt;\">Article 5. Rent<\/span><span style=\"color: #2f5496; font-size: 12pt;\">al<\/span><span style=\"color: #2f5496; font-size: 12pt;\"> agreement<\/span><\/p>\n<p style=\"text-align: justify; margin-top: 0pt; padding-top: 0; margin-bottom: 8pt; padding-bottom: 0; line-height: 1.3; margin-left: 7.1pt; text-indent: 21.25pt;\"><span style=\"font-size: 12pt;\">The basis for the emergence of rental relations is a rent<\/span><span style=\"font-size: 12pt;\">al<\/span><span style=\"font-size: 12pt;\"> agreement, which <\/span><span style=\"font-size: 12pt;\">is concluded<\/span><span style=\"font-size: 12pt;\"> based on voluntariness and full equality of the parties for a certain period. At the same time, the lease of land for agricultural use and other natural resources must be long-term in nature &#8211; at least 5 years.<\/span><\/p>\n<p style=\"text-align: justify; margin-top: 0pt; padding-top: 0; margin-bottom: 8pt; padding-bottom: 0; line-height: 1.3; margin-left: 7.1pt; text-indent: 21.25pt;\"><span style=\"font-size: 12pt;\">The <\/span><span style=\"font-size: 12pt;\">rent<\/span><span style=\"font-size: 12pt;\">al<\/span><span style=\"font-size: 12pt;\"> agreement <\/span><span style=\"font-size: 12pt;\">may be concluded<\/span><span style=\"font-size: 12pt;\"> on a competitive basis.<\/span><\/p>\n<p style=\"text-align: justify; margin-top: 0pt; padding-top: 0; margin-bottom: 8pt; padding-bottom: 0; line-height: 1.3; margin-left: 7.1pt; text-indent: 21.25pt;\"><span style=\"font-size: 12pt;\">The <\/span><span style=\"font-size: 12pt;\">rent<\/span><span style=\"font-size: 12pt;\">al<\/span><span style=\"font-size: 12pt;\"> agreement provides for:<\/span><\/p>\n<p style=\"text-align: justify; margin-top: 0pt; padding-top: 0; margin-bottom: 8pt; padding-bottom: 0; line-height: 1.3; margin-left: 7.1pt; text-indent: 21.25pt;\"><span style=\"font-size: 12pt;\">composition<\/span><span style=\"font-size: 12pt;\"> and value of the property <\/span><span style=\"font-size: 12pt;\">rental<\/span><span style=\"font-size: 12pt;\">, the procedure for its transfer;<\/span><\/p>\n<p style=\"text-align: justify; margin-top: 0pt; padding-top: 0; margin-bottom: 8pt; padding-bottom: 0; line-height: 1.3; margin-left: 7.1pt; text-indent: 21.25pt;\"><span style=\"font-size: 12pt;\">rental<\/span> <span style=\"font-size: 12pt;\">tenure<\/span><span style=\"font-size: 12pt;\">;<\/span><\/p>\n<p style=\"text-align: justify; margin-top: 0pt; padding-top: 0; margin-bottom: 8pt; padding-bottom: 0; line-height: 1.3; margin-left: 7.1pt; text-indent: 21.25pt;\"><span style=\"font-size: 12pt;\">conditions<\/span><span style=\"font-size: 12pt;\"> and amount of rent, terms of its payment;<\/span><\/p>\n<p style=\"text-align: justify; margin-top: 0pt; padding-top: 0; margin-bottom: 8pt; padding-bottom: 0; line-height: 1.3; margin-left: 7.1pt; text-indent: 21.25pt;\"><span style=\"font-size: 12pt;\">the<\/span><span style=\"font-size: 12pt;\"> condition of the property in which the <\/span><span style=\"font-size: 12pt;\">lessor<\/span><span style=\"font-size: 12pt;\"> must provide it to the <\/span><span style=\"font-size: 12pt;\">rental<\/span><span style=\"font-size: 12pt;\">;<\/span><\/p>\n<p style=\"text-align: justify; margin-top: 0pt; padding-top: 0; margin-bottom: 8pt; padding-bottom: 0; line-height: 1.3; margin-left: 7.1pt; text-indent: 21.25pt;\"><span style=\"font-size: 12pt;\">conditions<\/span><span style=\"font-size: 12pt;\"> for the use of property by the tenant;<\/span><\/p>\n<p style=\"text-align: justify; margin-top: 0pt; padding-top: 0; margin-bottom: 8pt; padding-bottom: 0; line-height: 1.3; margin-left: 7.1pt; text-indent: 21.25pt;\"><span style=\"font-size: 12pt;\">the<\/span><span style=\"font-size: 12pt;\"> condition and procedure for returning property to the <\/span><span style=\"font-size: 12pt;\">renter<\/span><span style=\"font-size: 12pt;\"> after termination of the contract;<\/span><\/p>\n<p style=\"text-align: justify; margin-top: 0pt; padding-top: 0; margin-bottom: 8pt; padding-bottom: 0; line-height: 1.3; margin-left: 7.1pt; text-indent: 21.25pt;\"><span style=\"font-size: 12pt;\">obligations<\/span><span style=\"font-size: 12pt;\"> of the parties to restore and repair the <\/span><span style=\"font-size: 12pt;\">rental<\/span><span style=\"font-size: 12pt;\"> property;<\/span><\/p>\n<p style=\"text-align: justify; margin-top: 0pt; padding-top: 0; margin-bottom: 8pt; padding-bottom: 0; line-height: 1.3; margin-left: 7.1pt; text-indent: 21.25pt;\"><span style=\"font-size: 12pt;\">conditions<\/span><span style=\"font-size: 12pt;\"> for further ownership of property after its full depreciation;<\/span><\/p>\n<p style=\"text-align: justify; margin-top: 0pt; padding-top: 0; margin-bottom: 8pt; padding-bottom: 0; line-height: 1.3; margin-left: 7.1pt; text-indent: 21.25pt;\"><span style=\"font-size: 12pt;\">conditions<\/span><span style=\"font-size: 12pt;\">, procedure and terms of redemption of <\/span><span style=\"font-size: 12pt;\">rental<\/span><span style=\"font-size: 12pt;\"> property, if it is transferred with subsequent redemption;<\/span><\/p>\n<p style=\"text-align: justify; margin-top: 0pt; padding-top: 0; margin-bottom: 8pt; padding-bottom: 0; line-height: 1.3; margin-left: 7.1pt; text-indent: 21.25pt;\"><span style=\"font-size: 12pt;\">conditions<\/span><span style=\"font-size: 12pt;\">, procedure and possibility of subletting <\/span><span style=\"font-size: 12pt;\">rental<\/span><span style=\"font-size: 12pt;\"> property;<\/span><\/p>\n<p style=\"text-align: justify; margin-top: 0pt; padding-top: 0; margin-bottom: 8pt; padding-bottom: 0; line-height: 1.3; margin-left: 7.1pt; text-indent: 21.25pt;\"><span style=\"font-size: 12pt;\">the<\/span><span style=\"font-size: 12pt;\"> amount of information and the timing of its submission by the tenant to the landlord;<\/span><\/p>\n<p style=\"text-align: justify; margin-top: 0pt; padding-top: 0; margin-bottom: 8pt; padding-bottom: 0; line-height: 1.3; margin-left: 7.1pt; text-indent: 21.25pt;\"><span style=\"font-size: 12pt;\">responsibility<\/span><span style=\"font-size: 12pt;\"> of the parties.<\/span><\/p>\n<p style=\"text-align: justify; margin-top: 0pt; padding-top: 0; margin-bottom: 8pt; padding-bottom: 0; line-height: 1.3; margin-left: 7.1pt; text-indent: 21.25pt;\"><span style=\"font-size: 12pt;\">The rent<\/span><span style=\"font-size: 12pt;\">al<\/span><span style=\"font-size: 12pt;\"> agreement for land and other natural resources also includes provisions stipulating the tenant\u2019s obligations for the rational use of the natural object in accordance with its intended purpose.<\/span><\/p>\n<p style=\"text-align: justify; margin-top: 0pt; padding-top: 0; margin-bottom: 8pt; padding-bottom: 0; line-height: 1.3; margin-left: 7.1pt; text-indent: 21.25pt;\"><span style=\"font-size: 12pt;\">The rent<\/span><span style=\"font-size: 12pt;\">al<\/span><span style=\"font-size: 12pt;\"> agreement separately identifies the lessor&#8217;s property objects related to the non-productive sphere and their value, and indicates the obligations of the parties in relation to these objects (their preservation and maintenance).<\/span><\/p>\n<p style=\"text-align: justify; margin-top: 0pt; padding-top: 0; margin-bottom: 8pt; padding-bottom: 0; line-height: 1.3; margin-left: 7.1pt; text-indent: 21.25pt;\"><span style=\"font-size: 12pt;\">The lease agreement may include other terms and conditions.<\/span><\/p>\n<p style=\"text-align: justify; margin-top: 0pt; padding-top: 0; margin-bottom: 8pt; padding-bottom: 0; line-height: 1.3; margin-left: 7.1pt; text-indent: 21.25pt;\"><span style=\"color: #2f5496; font-size: 12pt;\">Article 6. Cost of <\/span><span style=\"color: #2f5496; font-size: 12pt;\">rental<\/span><span style=\"color: #2f5496; font-size: 12pt;\"> property<\/span><\/p>\n<p style=\"text-align: justify; margin-top: 0pt; padding-top: 0; margin-bottom: 8pt; padding-bottom: 0; line-height: 1.3; margin-left: 7.1pt; text-indent: 21.25pt;\"><span style=\"font-size: 12pt;\">The value of state property <\/span><span style=\"font-size: 12pt;\">rental<\/span><span style=\"font-size: 12pt;\"> is determined in accordance with the legislation of the Republic of Uzbekistan.<\/span><\/p>\n<p style=\"text-align: justify; margin-top: 0pt; padding-top: 0; margin-bottom: 8pt; padding-bottom: 0; line-height: 1.3; margin-left: 7.1pt; text-indent: 21.25pt;\"><span style=\"font-size: 12pt;\">The <\/span><span style=\"font-size: 12pt;\">owner determines the value of non-state property <\/span><span style=\"font-size: 12pt;\">rental<\/span><span style=\"font-size: 12pt;\">.<\/span><\/p>\n<p style=\"text-align: justify; margin-top: 0pt; padding-top: 0; margin-bottom: 8pt; padding-bottom: 0; line-height: 1.3; margin-left: 7.1pt; text-indent: 21.25pt;\"><span style=\"color: #2f5496; font-size: 12pt;\">Article 7. Transfer of property to the tenant<\/span><\/p>\n<p style=\"text-align: justify; margin-top: 0pt; padding-top: 0; margin-bottom: 8pt; padding-bottom: 0; line-height: 1.3; margin-left: 7.1pt; text-indent: 21.25pt;\"><span style=\"font-size: 12pt;\">The lessor is obliged to lease the property to the <\/span><span style=\"font-size: 12pt;\">rental<\/span><span style=\"font-size: 12pt;\"> in a condition consistent with the purpose of the property or as provided for in the contract.<\/span><\/p>\n<p style=\"text-align: justify; margin-top: 0pt; padding-top: 0; margin-bottom: 8pt; padding-bottom: 0; line-height: 1.3; margin-left: 7.1pt; text-indent: 21.25pt;\"><span style=\"font-size: 12pt;\">The lessor is responsible for shortcomings, including those not identified, when concluding an agreement on the leased property, which prevent its use.<\/span><\/p>\n<p style=\"text-align: justify; margin-top: 0pt; padding-top: 0; margin-bottom: 8pt; padding-bottom: 0; line-height: 1.3; margin-left: 7.1pt; text-indent: 21.25pt;\"><span style=\"font-size: 12pt;\">If the <\/span><span style=\"font-size: 12pt;\">lessor<\/span><span style=\"font-size: 12pt;\"> does not promptly transfer the leased property for use to the lessee, the lessee has the right to claim this property from him and demand compensation for losses caused by the delay in performance, or to refuse the contract and recover losses caused to him by failure to fulfill the contract.<\/span><\/p>\n<p style=\"text-align: justify; margin-top: 0pt; padding-top: 0; margin-bottom: 8pt; padding-bottom: 0; line-height: 1.3; margin-left: 7.1pt; text-indent: 21.25pt;\"><span style=\"color: #2f5496; font-size: 12pt;\">Article 8. Sublease of<\/span> <span style=\"color: #2f5496; font-size: 12pt;\">rental<\/span> <span style=\"color: #2f5496; font-size: 12pt;\">property<\/span><\/p>\n<p style=\"text-align: justify; margin-top: 0pt; padding-top: 0; margin-bottom: 8pt; padding-bottom: 0; line-height: 1.3; margin-left: 7.1pt; text-indent: 21.25pt;\"><span style=\"font-size: 12pt;\">The tenant has the right to sublease the <\/span><span style=\"font-size: 12pt;\">rental<\/span><span style=\"font-size: 12pt;\"> property with the permission of the <\/span><span style=\"font-size: 12pt;\">lessor<\/span><span style=\"font-size: 12pt;\">, unless otherwise provided by the legislation of the Repu<\/span><span style=\"font-size: 12pt;\">blic of Uzbekistan and the rent<\/span><span style=\"font-size: 12pt;\">al<\/span><span style=\"font-size: 12pt;\"> agreement. In this case, the tenant remains liable under the agreement to the <\/span><span style=\"font-size: 12pt;\">lessor<\/span><span style=\"font-size: 12pt;\">.<\/span><span style=\"font-size: 12pt;\">\u2003\u2003<\/span><\/p>\n<p style=\"text-align: justify; margin-top: 0pt; padding-top: 0; margin-bottom: 8pt; padding-bottom: 0; line-height: 1.3; margin-left: 7.1pt; text-indent: 21.25pt;\"><span style=\"color: #2f5496; font-size: 12pt;\">Article 81<\/span><span style=\"color: #2f5496; font-size: 12pt;\"><sup>1<\/sup><\/span><span style=\"color: #2f5496; font-size: 12pt;\">. In this case, the rights<\/span><span style=\"font-size: 12pt;\"> and obligations under the rent<\/span><span style=\"font-size: 12pt;\"> agreement <\/span><span style=\"font-size: 12pt;\">are transferred<\/span><span style=\"font-size: 12pt;\"> to the new tenant.<\/span><\/p>\n<p style=\"text-align: justify; margin-top: 0pt; padding-top: 0; margin-bottom: 8pt; padding-bottom: 0; line-height: 1.3; margin-left: 7.1pt; text-indent: 21.25pt;\"><span style=\"color: #2f5496; font-size: 12pt;\">Article 9. Property when rented<\/span><\/p>\n<p style=\"text-align: justify; margin-top: 0pt; padding-top: 0; margin-bottom: 8pt; padding-bottom: 0; line-height: 1.3; margin-left: 7.1pt; text-indent: 21.25pt;\"><span style=\"font-size: 12pt;\">Renting out property does not entail transfer of ownership of this property.<\/span><\/p>\n<p style=\"text-align: justify; margin-top: 0pt; padding-top: 0; margin-bottom: 8pt; padding-bottom: 0; line-height: 1.3; margin-left: 7.1pt; text-indent: 21.25pt;\"><span style=\"font-size: 12pt;\">Products manufactured using leased property and the income received, as well as property acquired at the expense of profit (income) received from leased property; belong to the lessee, unless otherwise provided by the legislation of the Republic of Uzbekistan.<\/span><\/p>\n<p style=\"text-align: justify; margin-top: 0pt; padding-top: 0; margin-bottom: 8pt; padding-bottom: 0; line-height: 1.3; margin-left: 7.1pt; text-indent: 21.25pt;\"><span style=\"font-size: 12pt;\">The tenant\u2019s right to build, at the expense of his own and borrowed funds on a leased land plot, the necessary premises for production and non-production purposes, including housing, in compliance with the general rules of development, must be provided for in the agreement. Upon expiration of the contract or upon termination, the tenant has the right to compensation from the property owner for their cost.<\/span><\/p>\n<p style=\"text-align: justify; margin-top: 0pt; padding-top: 0; margin-bottom: 8pt; padding-bottom: 0; line-height: 1.3; margin-left: 7.1pt; text-indent: 21.25pt;\"><span style=\"font-size: 12pt;\">Buildings and structures built at the expense of the tenant without the permission of the proprietor on the leased territory that cannot be moved belong to the proprietor. If the proprietor demands their demolition, the tenant is obliged to demolish them at his own expense or reimburse the costs associated with their demolition.<\/span><\/p>\n<p style=\"text-align: justify; margin-top: 0pt; padding-top: 0; margin-bottom: 8pt; padding-bottom: 0; line-height: 1.3; margin-left: 7.1pt; text-indent: 21.25pt;\"><span style=\"font-size: 12pt;\">In the property owned by a rental enterprise, on the terms and in the manner prescribed by its charter, the amount of contributions of members of its labor collective to the creation of this property is determined through their personal labor participation, as well as monetary and other property contributions.<\/span><\/p>\n<p style=\"text-align: justify; margin-top: 0pt; padding-top: 0; margin-bottom: 8pt; padding-bottom: 0; line-height: 1.3; margin-left: 7.1pt; text-indent: 21.25pt;\"><span style=\"font-size: 12pt;\">Securities <\/span><span style=\"font-size: 12pt;\">may be issued<\/span><span style=\"font-size: 12pt;\"> for the value of a member of the workforce&#8217;s contribution to the property of a rental enterprise in accordance with its charter. Dividends are paid on these securities in amounts determined by the workforce, based on the <\/span><span style=\"font-size: 12pt;\">final results<\/span><span style=\"font-size: 12pt;\"> of production and the development objectives of the enterprise. Rent<\/span><\/p>\n<p style=\"text-align: justify; margin-top: 0pt; padding-top: 0; margin-bottom: 8pt; padding-bottom: 0; line-height: 1.3; margin-left: 7.1pt; text-indent: 21.25pt;\"><span style=\"font-size: 12pt;\">The rent <\/span><span style=\"font-size: 12pt;\">is established<\/span><span style=\"font-size: 12pt;\"> by t<\/span><span style=\"font-size: 12pt;\">he rent<\/span><span style=\"font-size: 12pt;\"> agreement by mutual agreement of the parties, and the rent for state-owned land plots and natural resources is established in the manner and within the limits determined by the legislation of the Republic of Uzbekistan.<\/span><\/p>\n<p style=\"text-align: justify; margin-top: 0pt; padding-top: 0; margin-bottom: 8pt; padding-bottom: 0; line-height: 1.3; margin-left: 7.1pt; text-indent: 21.25pt;\"><span style=\"font-size: 12pt;\">Rent <\/span><span style=\"font-size: 12pt;\">is paid<\/span><span style=\"font-size: 12pt;\"> to the owner of<\/span><span style=\"font-size: 12pt;\"> the rent<\/span><span style=\"font-size: 12pt;\">ed property. Status of a rental enterprise<\/span><\/p>\n<p style=\"text-align: justify; margin-top: 0pt; padding-top: 0; margin-bottom: 8pt; padding-bottom: 0; line-height: 1.3; margin-left: 7.1pt; text-indent: 21.25pt;\"><span style=\"font-size: 12pt;\">The enterprise acquires the status of a <\/span><span style=\"font-size: 12pt;\">rental company after signing a rent<\/span><span style=\"font-size: 12pt;\">al<\/span><span style=\"font-size: 12pt;\"> agreement and approval of the charter by the general meeting (conferences). The charter of a rental enterprise (except for rental enterprises based on state ownership) must provide for the property liability of members of the rental collective for the debts of the enterprise.<\/span><\/p>\n<p style=\"text-align: justify; margin-top: 0pt; padding-top: 0; margin-bottom: 8pt; padding-bottom: 0; line-height: 1.3; margin-left: 7.1pt; text-indent: 21.25pt;\"><span style=\"font-size: 12pt;\">The <\/span><span style=\"font-size: 12pt;\">organization, activities and liquidation of a rental enterprise are regulated by the Law \u201cOn Enterprises in the Republic of Uzbekistan\u201d<\/span><span style=\"font-size: 12pt;\"> and other legislative acts of the Republic of Uzbekistan.<\/span><\/p>\n<p style=\"text-align: justify; margin-top: 0pt; padding-top: 0; margin-bottom: 8pt; padding-bottom: 0; line-height: 1.3; margin-left: 7.1pt; text-indent: 21.25pt;\"><span style=\"font-size: 12pt;\">A <\/span><span style=\"font-size: 12pt;\">rental<\/span><span style=\"font-size: 12pt;\"> enterprise acquires the rights of a legal entity from the date of its state registration and acceptance of the enterprise\u2019s property in the prescribed manner.<\/span><\/p>\n<p style=\"text-align: justify; margin-top: 0pt; padding-top: 0; margin-bottom: 8pt; padding-bottom: 0; line-height: 1.3; margin-left: 7.1pt; text-indent: 21.25pt;\"><span style=\"font-size: 12pt;\">When a state ent<\/span><span style=\"font-size: 12pt;\">erprise <\/span><span style=\"font-size: 12pt;\">is transferred<\/span><span style=\"font-size: 12pt;\"> for rent<\/span><span style=\"font-size: 12pt;\">, it is reorganized in the manner established by the legislation of the Republic of Uzbekistan.<\/span><\/p>\n<p style=\"text-align: justify; margin-top: 0pt; padding-top: 0; margin-bottom: 8pt; padding-bottom: 0; line-height: 1.3; margin-left: 7.1pt; text-indent: 21.25pt;\"><span style=\"font-size: 12pt;\">The <\/span><span style=\"font-size: 12pt;\">economic activities of the rental enterprise are carried out by the tenant<\/span><span style=\"font-size: 12pt;\"> independently. Outside of the performanc<\/span><span style=\"font-size: 12pt;\">e of obligations under the rent<\/span><span style=\"font-size: 12pt;\">al<\/span><span style=\"font-size: 12pt;\"> agreement, the tenant is completely free to manage its business activi<\/span><span style=\"font-size: 12pt;\">ties. Intervention by the <\/span><span style=\"font-size: 12pt;\">proprietor in the activities of the rental enterprise, demands for the submission of plans, reports and other information not provided for by the legislation of the Republic of Uzbekistan and the agreement is not allowed.<\/span><\/p>\n<p style=\"text-align: justify; margin-top: 0pt; padding-top: 0; margin-bottom: 8pt; padding-bottom: 0; line-height: 1.3; margin-left: 7.1pt; text-indent: 21.25pt;\"><span style=\"font-size: 12pt;\">Management of a rental enterprise is carried out in accordance with the Law of the Republic of Uzbekistan \u201cOn Enterprises in the Republic of Uzbekistan\u201d and the charter.<\/span><\/p>\n<p style=\"text-align: justify; margin-top: 0pt; padding-top: 0; margin-bottom: 8pt; padding-bottom: 0; line-height: 1.3; margin-left: 7.1pt; text-indent: 21.25pt;\"><span style=\"color: #2f5496; font-size: 12pt;\">Article 23. Succession in <\/span><span style=\"color: #2f5496; font-size: 12pt;\">rental of enterprises<\/span><\/p>\n<p style=\"text-align: justify; margin-top: 0pt; padding-top: 0; margin-bottom: 8pt; padding-bottom: 0; line-height: 1.3; margin-left: 7.1pt; text-indent: 21.25pt;\"><span style=\"font-size: 12pt;\">The rental enterprise becomes the successor to the property rights and obligations of the enterprise rental by it, including its rights to use land and other natural resources.<\/span><span style=\"font-size: 12pt;\"> In this case, the <\/span><span style=\"font-size: 12pt;\">lessor<\/span><span style=\"font-size: 12pt;\"> may undertake the obligation to full or partially repay the company&#8217;s accounts payable.<\/span><\/p>\n<p style=\"text-align: justify; margin-top: 0pt; padding-top: 0; margin-bottom: 8pt; padding-bottom: 0; line-height: 1.3; margin-left: 7.1pt; text-indent: 21.25pt;\"><span style=\"font-size: 12pt;\">The obligations of a state enterprise to sell products (works, services) in the volumes and within the time limits stipulated by its contracts <\/span><span style=\"font-size: 12pt;\">are f<\/span><span style=\"font-size: 12pt;\">ulfilled<\/span><span style=\"font-size: 12pt;\"> by the tenant. The<\/span> <span style=\"font-size: 12pt;\">lessor <\/span><span style=\"font-size: 12pt;\">transfers to the <\/span><span style=\"font-size: 12pt;\">tenant<\/span><span style=\"font-size: 12pt;\"> material resources or limits (funds) on them, <\/span><span style=\"font-size: 12pt;\">and<\/span><span style=\"font-size: 12pt;\"> takes other necessary measures to ensure the fulfillment of these ob<\/span><span style=\"font-size: 12pt;\">ligations. Failure by the <\/span><span style=\"font-size: 12pt;\">lessor<\/span><span style=\"font-size: 12pt;\"> to fulfill its obligations removes the correspon<\/span><span style=\"font-size: 12pt;\">ding obligations from the tenant<\/span><span style=\"font-size: 12pt;\">.<\/span><\/p>\n<p style=\"text-align: justify; margin-top: 0pt; padding-top: 0; margin-bottom: 8pt; padding-bottom: 0; line-height: 1.3; margin-left: 7.1pt; text-indent: 21.25pt;\"><span style=\"font-size: 12pt;\">The <\/span><span style=\"font-size: 12pt;\">rent <\/span><span style=\"font-size: 12pt;\">enterprise retains the right to centralized capital investments and subsidies in the amounts established for a state-owned enterprise <\/span><span style=\"font-size: 12pt;\">rent<\/span><span style=\"font-size: 12pt;\">ed. Property created using these funds is state property and must be included in the property <\/span><span style=\"font-size: 12pt;\">rent<\/span><span style=\"font-size: 12pt;\">ed.<\/span><\/p>\n<p style=\"text-align: justify; margin-top: 0pt; padding-top: 0; margin-bottom: 8pt; padding-bottom: 0; line-height: 1.3; margin-left: 7.1pt; text-indent: 21.25pt;\"><span style=\"font-size: 12pt;\">It <\/span><span style=\"font-size: 12pt;\">is prohibited<\/span><span style=\"font-size: 12pt;\"> to force the tenant to rent enterprises, facilities and property that are unnecessary for the tenant.<\/span><\/p>\n<p style=\"text-align: justify; margin-top: 0pt; padding-top: 0; margin-bottom: 8pt; padding-bottom: 0; line-height: 1.3; margin-left: 7.1pt; text-indent: 21.25pt;\"><span style=\"color: #2f5496; font-size: 12pt;\">Article 24. Competition for the rent of enterprises and their property complexes<\/span><\/p>\n<p style=\"text-align: justify; margin-top: 0pt; padding-top: 0; margin-bottom: 8pt; padding-bottom: 0; line-height: 1.3; margin-left: 7.1pt; text-indent: 21.25pt;\"><span style=\"font-size: 12pt;\">The owner or his authorized body, which has the right to rent the relevant property, announces a competition for the rent of enterprises and their property complexes<\/span><span style=\"font-size: 12pt;\">.<\/span><\/p>\n<p style=\"text-align: justify; margin-top: 0pt; padding-top: 0; margin-bottom: 8pt; padding-bottom: 0; line-height: 1.3; margin-left: 7.1pt; text-indent: 21.25pt;\"><span style=\"font-size: 12pt;\">Work collectives of enterprises, their structural divisions, mixed teams, including workers not employed at the enterprise, and other legal entities and individuals can participate in the competition.<\/span><\/p>\n<p style=\"text-align: justify; margin-top: 0pt; padding-top: 0; margin-bottom: 8pt; padding-bottom: 0; line-height: 1.3; margin-left: 7.1pt; text-indent: 21.25pt;\"><span style=\"font-size: 12pt;\">The priority right to rent<\/span><span style=\"font-size: 12pt;\"> an enterprise or its subdivision, other things being equal, has their labor collectives.<\/span><\/p>\n<p style=\"text-align: justify; margin-top: 0pt; padding-top: 0; margin-bottom: 8pt; padding-bottom: 0; line-height: 1.3; margin-left: 7.1pt; text-indent: 21.25pt;\"><span style=\"color: #2f5496; font-size: 12pt;\">Article 25.
